These Terms and Conditions govern the use of Off-Market by Waldo (“the Service”), operated by Waldo Fuentes Concepción, P.A. (“we”, “our”), including requesting a trial, purchasing Deal Access or Deal Strategy, and using the opportunities and resources associated with the Service. By accessing or using the Service, you agree to comply with these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Off-Market by Waldo is an access service to off-market real estate opportunities in Miami-Dade and Broward, Florida, aimed primarily at investors. Paid plans (Deal Access and Deal Strategy) receive opportunities through the Service’s private WhatsApp channel; the free trial is delivered through a WhatsApp broadcast list. Specific inquiries or arrangements are handled through direct communication.

The properties shared are generally assignments (contract assignments), with discounts of up to 50% below market value. Not all properties carry that discount.

The Service does not guarantee the purchase, reservation, profitability or availability of any property. Each opportunity is subject to its own terms, availability, documentation and closing conditions.

2. Plans and Payments

We offer two access plans:

• Deal Access – Essential Access: $150 USD, one-time payment. Includes daily deals via WhatsApp, access to Hard Money Lenders, free financing coordination, professional Fix & Flip calculator and contact network after your first closing.
• Deal Strategy – Priority Access: $500 USD, one-time payment. Includes daily deals via WhatsApp, access to Hard Money Lenders, free financing coordination, professional Fix & Flip calculator, contact network for remodeling and rehab whenever you need it, and early access to selected opportunities.

Both plans are activated immediately after payment and have no expiration date and no recurring charges. Access remains active as long as the Service continues operating and the user complies with these Terms and the Access Rules.

Online payments for Deal Access and Deal Strategy are processed through Stripe. By completing your payment, you authorize Waldo Fuentes Concepción, P.A. to charge for the selected plan.

3. Trial Access

Each person may use the trial only once. The trial allows you to evaluate up to five of the most recent opportunities available for general distribution and does not include early opportunities reserved for Deal Strategy.

The 5 trial deals are sent through a WhatsApp broadcast list, not through the members’ channel. To receive them correctly, you must first save Waldo’s contact on your phone.

The trial requires no card and no upfront payment. To acquire a property presented during the trial, the user must activate Deal Access or Deal Strategy. The trial by itself does not reserve a property nor grant the right to purchase one.

4. Payments and Refunds

Payments for Deal Access and Deal Strategy are one-time payments. Access is considered activated immediately after payment and once the instructions to join the WhatsApp channel have been made available.

Once payment has been made and access activated, the payment is non-refundable, except where applicable law requires otherwise or Off-Market by Waldo expressly authorizes an exception.

There are no monthly fees or automatic renewals associated with new purchases of Deal Access or Deal Strategy.

In certain transactions, and only when Off-Market by Waldo expressly approves it, an access fee payable at closing may be agreed. This arrangement is not automatically part of the trial and does not constitute a right of the user. If a transaction approved under that arrangement does not close, the closing fee is not charged.

5. Existing Customers and Future Changes

Future changes in prices, benefits or structure will apply to new purchases and will not retroactively modify the conditions acquired by previous customers, unless expressly agreed or when required by law.

6. Deal Frequency and Availability

Regular distribution of opportunities typically takes place Monday through Friday and depends on the actual availability of deals. Receiving or viewing a property does not reserve it nor guarantee that it will remain available.

Before visiting a property, requesting access or submitting an offer, the user must forward the posting directly via WhatsApp to confirm availability and receive instructions. A property is considered reserved only when the required deposit is received in accordance with the conditions of the deal.

7. Deal Strategy Early Access

Deal Strategy may include early access to selected opportunities. No minimum quantity or frequency of early deals is guaranteed, and the benefit may consist of even a single special opportunity within a given period.

These opportunities are aimed primarily at buyers prepared to purchase sight unseen, based on photos, videos and available information, typically without a prior showing. If circumstances allow, Off-Market by Waldo may facilitate physical access, but this does not constitute a guaranteed right.

8. Hard Money Lenders and Third-Party Contacts

Off-Market by Waldo facilitates connections with Hard Money Lenders, but is not a lender and does not guarantee approval, rates, LTV, rehab funds, draws or any other loan conditions.

Remodeling and rehab contacts are independent third parties. The user hires them directly and assumes responsibility for verifying experience, licenses, insurance, pricing, availability and quality of work.

9. Nature of the Service – Legal Notice

Off-Market by Waldo is NOT a financial or investment advisory service. The opportunities shared are informational and presented as available (“as-is”). We do not guarantee profitability, results or the viability of any specific property.

Waldo Fuentes holds a Real Estate license in the state of Florida. The opportunities presented on this site correspond to his activity as an investor and not to real estate representation services.

Every investment carries risk. The user is responsible for conducting their own due diligence before committing to any transaction.

10. Purchase Requirements

Properties shared through the Service generally require:

• Cash payment or financing through hard money lenders (approximately 25% down).
• Each deal has a pre-designated title company, and the closing must be carried out with that company. Exceptions are only considered in specific cases and with prior authorization.
• Traditional financing (FHA, VA, Conventional) does not apply.

11. Note for Realtors

Realtors may present the opportunities to their clients. The published asking price does not include the Realtor’s commission; any commission must be added to the price or structured according to the specific conditions of the transaction.

12. User Conduct and Revocation of Access

Members may share opportunities discreetly with trusted individuals, provided there is no public posting, mass redistribution, unauthorized direct contact with the seller, circumvention of Off-Market by Waldo, or interference with a transaction.

Contacting the seller directly to bypass the process, visiting a property without authorization, interfering with a deal or seriously breaching these rules may result in permanent revocation of access without a refund.

Off-Market by Waldo may document and communicate verified conduct in good faith when reasonably necessary to protect a transaction, prevent fraud or protect participants in its network.

13. Commercial Communications

When you voluntarily contact us via WhatsApp, you authorize Off-Market by Waldo to reply to you and send you communications related to opportunities, services and news from Off-Market by Waldo. You may request at any time to stop receiving these communications, and we will honor your request. To do so, message us “STOP” on WhatsApp or write to info@offmarketbywaldo.com.

14. Limitation of Liability

To the maximum extent permitted by law, Waldo Fuentes Concepción, P.A. and Off-Market by Waldo shall not be liable for financial losses or direct, indirect, incidental or consequential damages arising from the use of the Service or from any transaction based on the information provided.

Past results shown on our website are real examples but do not guarantee future results. Every investment depends on multiple factors including the market, the specific property and the investor’s execution.

15. Intellectual Property

All content of the Service, including but not limited to text, images, property data, analysis, tools (such as the Fix & Flip Calculator) and materials, is the property of Waldo Fuentes Concepción, P.A. and is protected by intellectual property laws.

16. Modifications

We reserve the right to modify these Terms and Conditions at any time. Changes will be notified to active users by email or WhatsApp. Continued use of the Service after modifications constitutes acceptance of the new terms.

17. Minimum Age and Governing Law

The Service is intended for individuals 18 years of age or older and is governed by the applicable laws of the state of Florida, United States. Any dispute shall be resolved in the competent courts of Miami-Dade County, Florida.
