By requesting a trial or activating an Off-Market by Waldo access plan, you agree to comply with these Access Rules. Their purpose is to protect the proper use of the opportunities shared, the operation of each deal and the quality of the service for all participants.

1. Confidentiality of the Deals

Opportunities may be shared discreetly with trusted individuals when doing so does not interfere with the transaction and does not involve public posting, direct contact with the seller, circumvention of Off-Market by Waldo or mass redistribution of the information.

If you are interested in a property, forward the posting to us directly via WhatsApp to confirm availability and coordinate next steps. You must not visit the property or contact the seller directly without authorization.

2. Personal Use and Duration of Access

Your access is individual and non-transferable and becomes active immediately after payment. Deal Access and Deal Strategy have no expiration date and require no recurring payments. Access remains active as long as the Service continues operating and the user complies with these Access Rules.

Future changes in prices, benefits or structure will apply to new purchases and will not retroactively modify the conditions acquired by previous customers, unless expressly agreed or when required by law.

3. Communication Protocol

With a paid plan (Deal Access or Deal Strategy), opportunities are posted in our private WhatsApp channel. The channel is used to post properties and does not function as a group chat among members. The free trial does not use the channel: it is delivered through a WhatsApp broadcast list.

If you are interested in a property posted on the channel, forward the posting to us directly via WhatsApp to our number. We will confirm whether it is still available and coordinate next steps, including access to the property or an offer, according to the conditions of each deal.

Viewing or receiving a property does not reserve it. Availability must be confirmed privately, and a property is considered reserved only when the required deposit is received in accordance with the specific conditions of the deal.

4. Purchase Process

Certain selected opportunities may be shared first with selected investors before being posted to the general channel. These opportunities are aimed primarily at buyers prepared to purchase sight unseen, based on photographs, videos and the information available, typically without a prior showing.

The possibility of physical access, showing or inspection depends on the conditions of each property and does not constitute a guaranteed right of early access.

When you decide to act on an opportunity, keep in mind:

• Properties are assignments (contract assignments).
• Cash or hard money lending is required (approx. 25% down). FHA, VA or Conventional financing does not apply.
• Each deal has a pre-designated title company, and the closing must be carried out with that company. Exceptions are only considered in specific cases and with prior authorization.
• The stated prices (asking price) do not include Realtor commission.
• You are responsible for your own due diligence (inspections, title, insurance, etc.).

5. No Unfair Competition

It is prohibited to use the information received to:

• Contact sellers or wholesalers directly, bypassing the service.
• Create a similar service using our contacts, sources or deals.
• Interfere with the transactions of other participants.

6. Realtors

Realtors may present the opportunities to their clients. The asking price published by Off-Market by Waldo does not include the Realtor’s commission. Any commission must be added to the price or structured according to the specific conditions of the transaction.

Early access does not guarantee a minimum quantity or frequency of special opportunities. It may consist of one or more deals selected according to availability and the judgment of Off-Market by Waldo.

8. Trial Access

Each person may use the trial only once. The trial allows you to evaluate up to five of the most recent opportunities available for general distribution. It does not include early opportunities reserved for Deal Strategy.

The 5 trial deals are sent through a WhatsApp broadcast list, not through the members’ channel. To receive them correctly, you must first save Waldo’s contact on your phone.

To acquire a property presented during the trial, the user must activate Deal Access or Deal Strategy. The trial by itself does not grant the right to purchase a property or to reserve one.

9. Hard Money Lenders and Remodeling Contacts

Off-Market by Waldo facilitates the connection with Hard Money Lenders, but does not act as a lender and does not guarantee approval, rates, LTV, rehab funds or any other loan conditions.

Remodeling and rehab contacts are independent third parties. Some may have previously worked with participants in our network and others form part of our contact base. The investor hires them directly and is responsible for verifying experience, licenses, insurance, pricing, availability and quality of work.

10. Distribution Frequency

Regular distribution of opportunities typically takes place Monday through Friday and is subject to the actual availability of deals. The advertised frequency reflects the operational goal of the Service and may be affected by holidays, closings, availability or market conditions.

11. Violations and Revocation of Access

Contacting the seller directly to circumvent Off-Market by Waldo, visiting a property without authorization, publishing deal information in a harmful way, interfering with a transaction or attempting to bypass the process may result in permanent revocation of access without a refund.

Off-Market by Waldo may document and communicate verified conduct in good faith when reasonably necessary to protect a transaction, prevent fraud or protect participants in its network.
